Terms of Service

These terms govern your use of Tend, a service provided by ClearTools Ltd ("we", "us", or "Tend"). By creating an account or using Tend, you agree to these terms. If you don't agree, please don't use Tend.

1. About Tend

Tend is a software service that helps UK limited companies manage their administrative obligations — tracking deadlines, managing renewals, recording dividends, and generating related documents.

Tend is not a substitute for professional accounting, legal, or tax advice. The documents Tend generates (board minutes, dividend vouchers, statutory registers) are based on the information you provide. You are responsible for ensuring the information is accurate and that the documents meet your specific needs.

2. Eligibility

To use Tend, you must:

  • Be at least 18 years old
  • Be a director, officer, or authorised representative of the UK limited company you add
  • Provide accurate information about yourself and your company

3. Your account

You're responsible for:

  • Keeping your password secure
  • All activity that happens under your account
  • Notifying us immediately if you suspect unauthorised access

You can have one Tend account per email address. With a Solo subscription, you can manage one company. With a Portfolio subscription, you can manage multiple companies.

4. Free trial

We offer a 14-day free trial of Tend. No payment details are required to start the trial.

If you don't subscribe before your trial ends, your account will be locked. You won't lose your data — you can subscribe at any time within 90 days of trial expiry to recover access. After 90 days, we may delete trial data that hasn't been activated.

5. Subscriptions and payments

Tend is offered on a monthly or annual subscription basis. Current pricing is shown at tendto.co.uk/#pricing.

Subscriptions:

  • Auto-renew at the end of each billing period
  • Are billed to the payment method you provide
  • Can be cancelled at any time from your account settings

If you cancel:

  • Your subscription continues until the end of the current billing period
  • We don't issue refunds for partial months or unused time on annual plans

We may change pricing in the future. We'll give you at least 30 days notice before applying any price increase to your subscription.

6. Acceptable use

You agree not to:

  • Use Tend for any illegal purpose
  • Misrepresent your identity or your company
  • Attempt to access other users' accounts or data
  • Reverse-engineer, scrape, or copy Tend's software
  • Use Tend to send spam, malware, or harmful content
  • Interfere with Tend's operation or security

We reserve the right to suspend or terminate accounts that violate these rules.

7. Your data, your responsibility

The information you put into Tend belongs to you. We don't claim ownership of your data.

You're responsible for the accuracy of the information you provide. Tend's outputs (deadline tracking, generated documents, calculations) depend on this information being correct.

You're also responsible for ensuring you're permitted to share any data you put into Tend (for example, shareholder details for dividend vouchers).

8. Tend's outputs are starting points

Tend generates documents and calculates dates based on the information you provide and the rules in force at the time. While we work to ensure accuracy:

  • Tend doesn't guarantee that generated documents are legally sufficient for every situation
  • HMRC and Companies House rules can change; we update Tend to reflect changes but there may be a lag
  • For significant decisions (e.g. tax planning, dispute resolution, complex corporate structures), consult a qualified accountant or solicitor

9. Service availability

We aim to keep Tend available 24/7 but don't guarantee uninterrupted service. We may perform maintenance, updates, or other operations that temporarily make Tend unavailable.

We're not liable for losses caused by Tend being unavailable.

10. Limitation of liability

To the maximum extent permitted by law:

  • Tend is provided "as is" and "as available"
  • We don't warrant that Tend is error-free or fit for any specific purpose
  • Our total liability to you for any claim related to Tend is limited to the fees you've paid us in the 12 months before the claim arose

Nothing in these terms limits liability for fraud, death or personal injury caused by negligence, or any liability that can't be limited under UK law.

11. Termination

You can cancel your account at any time from your account settings.

We can terminate your account if you breach these terms or if Tend is discontinued. We'll give you reasonable notice unless the breach is severe (illegal use, security threat, etc.).

If your account is terminated, you can request your data within 30 days. After that, we may delete it (subject to our retention obligations described in our Privacy Policy).

12. Changes to these terms

We may update these terms as Tend evolves. We'll notify you by email of any significant changes at least 30 days before they take effect. Continued use of Tend after changes take effect means you accept the new terms.

13. Governing law

These terms are governed by the laws of England and Wales. Any disputes will be heard in the courts of England and Wales.
